Have you ever heard of a “force majeure” clause before today? If not, then perhaps you should replace the terms “international law bars” with the term force majeure in your contracts when negotiating your site license agreement. Bar Council of India (BCI) has recently released a document entitled “Proposed Plan Of Work For Establishing International Law University” which contains the language provided above.
A force majeure clause defines the specific situations which constitute events beyond the party’s control that could prevent performance of contractual duties and further provides how to treat such supervening impossibilities. Historically, common-law courts have held that a force majeure clause operates in the following way: A contract which speaks generally of ‘acts of God or other unavoidable accidents,’ ‘strikes or lockouts,’ etc., is not nugatory. However, the modern theory is this rule is that even an ambiguous force majeure clause protects all parties against events after the conclusion of the contract which are physically or legally impossible to perform.
